1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and PrémiumJárgány Kft. ("Company," "we," "us," or "our") governing your access to and use of the WhyThisSolution website and services.

By accessing or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use our services.

We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

4. Use of Website

4.1 Eligibility

By using our website, you represent and warrant that:

• You are at least 16 years of age
• You have the legal capacity to enter into these Terms
• You will comply with all applicable laws and regulations
• All information you provide is accurate and complete

4.2 Prohibited Activities

You agree not to:

• Use our website for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our services
• Transmit any viruses, malware, or harmful code
• Scrape, crawl, or use automated means to access our website
• Impersonate any person or entity
• Collect or harvest personal information of other users

5. Intellectual Property Rights

5.1 Our Intellectual Property

All content on our website, including but not limited to text, graphics, logos, images, videos, software, and code, is the property of PrémiumJárgány Kft. or our licensors and is protected by Hungarian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our website for personal and non-commercial purposes. This license does not include:

• Modifying or copying our materials
• Using our materials for any commercial purpose
• Attempting to decompile or reverse engineer any software
• Removing any copyright or proprietary notices
• Transferring materials to another person or mirroring on another server

5.2 Client Intellectual Property

Any intellectual property provided by clients remains the property of the respective client. We respect the intellectual property rights of others and expect our clients to do the same.

6. Consulting Services

6.1 Proposals and Contracts

Any consulting services will be governed by separate written agreements or proposals that specify the scope of work, deliverables, timelines, and fees. These Terms apply to all such engagements unless explicitly modified in writing.

6.2 Payment Terms

Payment terms for consulting services will be specified in individual contracts. Unless otherwise agreed, invoices are due within 30 days of the invoice date. Late payments may be subject to interest charges.

7. 100% Satisfaction Guarantee

7.1 Preview Before Delivery

Before final delivery, we provide a complete preview/demo of your project. You can review, test, and evaluate the work before accepting it.

7.2 Satisfaction Decision

If you are not satisfied with the preview, you may decline the project. In this case, you will not receive the final deliverables, source code, or any project materials.

7.3 Refund Policy for Small Projects

For projects under $1,000: If you decline the project after preview, you will receive a full refund of your deposit.

7.4 Refund Policy for Large Projects

For projects $2,000 and above: If you decline the project after preview, labor costs will be deducted from your deposit. Milestone payments already made are non-refundable. Only the remaining deposit balance will be refunded.

7.5 No Deliverables on Refund

If you decline the project and receive a refund, you forfeit all rights to the work product, including code, designs, documentation, and previews.

7.6 Exclusions

This satisfaction guarantee does not apply in the following circumstances:

• Scope Changes: If you modify project requirements, specifications, or scope after the project has commenced
• Client Delays: If project delays are caused by your failure to provide timely feedback, approvals, or required materials
• Third-Party Dependencies: Issues arising from third-party services, APIs, or integrations outside our control
• Post-Completion Changes: Issues resulting from modifications made by you or third parties after project delivery
• Force Majeure: Circumstances beyond our reasonable control

7.7 Claim Process

To initiate a satisfaction claim:

1. Review the project preview/demo thoroughly
2. Submit a written decline request to info@whythissolution.com within the review period
3. Include specific details about your concerns and reasons for declining
4. Allow us 7 business days to process your refund request

All decisions regarding satisfaction claims are made at the sole discretion of PrémiumJárgány Kft., subject to applicable law.

8. Limitation of Liability

To the fullest extent permitted by applicable law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses
• Our total liability for any claims arising under these Terms shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim
• We shall not be liable for any damages or losses resulting from: (a) your access to or use of our services; (b) any unauthorized access to our servers; (c) any interruption or cessation of transmission to or from our services; (d) any bugs, viruses, or similar issues transmitted through our services by third parties

9. Disclaimer of Warranties

OUR WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• Our services will be uninterrupted, timely, secure, or error-free
• The results from using our services will be accurate or reliable
• Any errors in our services will be corrected
• Our website is free of viruses or other harmful components

10. Indemnification

You agree to defend, indemnify, and hold harmless PrémiumJárgány Kft., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with:

• Your access to or use of our services
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property or privacy rights
• Any content you submit or transmit through our services

11. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use our services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Jurisdiction

Any legal suit, action, or proceeding arising out of or related to these Terms or our services shall be instituted exclusively in the courts of Budapest, Hungary. You waive any objection to this venue and consent to personal jurisdiction in these courts.

If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence. The European Commission provides an online dispute resolution platform available at https://ec.europa.eu/consumers/odr.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent as nearly as possible. The remaining provisions shall remain in full force and effect.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after any revisions become effective, you agree to be bound by the revised terms.

15. Entire Agreement

These Terms constitute the entire agreement between you and PrémiumJárgány Kft. regarding our services and supersede all prior agreements, understandings, and representations.

16. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of PrémiumJárgány Kft.

17. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to: acts of God, natural disasters, wars, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
